1. Services Description

REI World Solutions provides virtual assistant services specifically designed for real estate professionals. Our services include but are not limited to:

• Cold calling and outbound lead generation
• Inbound lead response and management
• Wholesale deal coordination
• Administrative and back-office support
• Market analysis and research
• Client communication and follow-up
• CRM data entry and management
• Appointment scheduling and coordination

The specific services provided to you will be outlined in your service agreement or statement of work. We reserve the right to modify or discontinue any service at our discretion.

2. Acceptance of Terms

By accessing our website or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services.

You represent and warrant that:

• You are at least 18 years of age
• You have the legal authority to enter into this agreement
• All information provided by you is accurate and complete
• You will use our services in compliance with all applicable laws

3. Client Accounts and Responsibilities

Account Registration

To access certain services, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Client Responsibilities

As a client of REI World Solutions, you agree to:

• Provide accurate and complete information necessary for service delivery
• Grant necessary access to systems, software, and tools required for service performance
• Provide timely feedback and direction to your assigned virtual assistant
• Pay all fees according to the agreed-upon terms
• Ensure your use of our services complies with applicable laws and regulations
• Not use our services for any illegal, fraudulent, or unauthorized purpose

Software and Systems Access

You may be required to grant our virtual assistants access to your software systems, CRM platforms, or other business tools. You represent that you have the authority to provide such access and understand that you may revoke access at any time.

4. Service Delivery and Performance

Service Standards

We are committed to providing professional virtual assistant services. Our service standards include:

• Trained virtual assistants with real estate industry expertise
• Quality assurance monitoring of all service deliverables
• Dedicated account management for ongoing support
• Regular communication regarding service performance

Virtual Assistant Assignment

We will match you with a virtual assistant based on your specific business needs. We reserve the right to reassign your virtual assistant if necessary to ensure quality service delivery.

Service Modifications

We reserve the right to modify service offerings, staffing arrangements, or operational procedures as necessary to improve service quality or comply with regulatory requirements.

5. Payment Terms

Pricing

Service pricing is as follows:

• Virtual assistant services start at $9.00 per hour
• Pricing may vary based on service type, complexity, and volume
• All pricing is provided in US Dollars unless otherwise specified
• Promotional pricing may be offered at our discretion

Billing

Payment terms are as follows:

• Services are billed in accordance with your selected pricing plan
• Monthly plans are billed at the beginning of each billing period
• Hourly services are billed based on actual time worked
• Additional hours beyond your plan are billed at the same rate

Payment Methods

We accept various payment methods including credit cards, debit cards, and bank transfers. Payment details are processed securely through our third-party payment processors.

Late Payments

Late payments may result in service suspension or termination. We reserve the right to charge interest on overdue amounts at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

6. Intellectual Property

Client Materials

You retain all rights to your business materials, data, intellectual property, and confidential information provided to us. You grant us a limited license to use such materials solely for the purpose of providing services to you.

Work Product

Any deliverables, work product, or materials created by our virtual assistants in the course of providing services to you ("Work Product") shall be owned by you upon full payment of all fees. Until payment is received, we retain ownership of all Work Product.

Company Materials

All materials, content, and intellectual property provided by REI World Solutions, including training materials, processes, and methodologies, remain our exclusive property. You may not copy, distribute, or create derivative works from our proprietary materials.

7. Confidentiality

Both parties acknowledge that in the course of the business relationship, each party may have access to confidential information of the other party. We are committed to protecting your confidential information and will:

• Maintain the confidentiality of your business information, client data, and proprietary processes
• Not disclose confidential information to third parties without your consent
• Use confidential information only for the purpose of providing services
• Implement reasonable security measures to protect your information

Exceptions

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of ours; (b) was known to us prior to disclosure; (c) is independently developed by us without use of your information; or (d) is required to be disclosed by law.

8. Limitation of Liability

To the maximum extent permitted by law, REI World Solutions and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, or business opportunities
• Damages arising from the use of our services
• Errors, omissions, or inaccuracies in service deliverables
• Unauthorized access to or alteration of your data
• Any conduct of third parties, including virtual assistants

Liability Cap

Our total cumulative liability arising out of or relating to these Terms or our services shall not exceed the total amount of fees paid by you to us in the twelve (12) months preceding the claim.

Service Results

We do not guarantee specific results, outcomes, or business performance from the use of our services. Results may vary based on market conditions, your business practices, and other factors beyond our control.

9. Termination

Termination by You

You may terminate your services with us at any time by providing written notice. Termination will be effective at the end of your current billing period. No refunds will be provided for prepaid services unless otherwise agreed.

Termination by Us

We may terminate or suspend services immediately if:

• You fail to pay fees when due
• You violate these Terms or any applicable laws
• You engage in fraudulent, illegal, or unethical business practices
• You misuse our services in any way
• Continuing the relationship would be harmful to our business or reputation

Effect of Termination

Upon termination, you will remain liable for all fees accrued through the termination date. We will provide reasonable cooperation in transitioning services. All confidentiality and intellectual property provisions will survive termination.

10. Indemnification

You agree to indemnify, defend, and hold harmless REI World Solutions and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Your business activities and operations
• Any inaccurate or incomplete information provided by you

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law principles.

Dispute Resolution

Any dispute arising out of or relating to these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue other legal remedies available.

Arbitration

By agreeing to these Terms, you agree that any dispute shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. This agreement to arbitrate includes all disputes arising from or related to these Terms.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on our website
• Updating the "Last updated" date at the top of these Terms
• Sending email notification to the address associated with your account

Your continued use of our services after the effective date of any changes constitutes acceptance of the modified Terms.

If you do not agree to the changes, you must discontinue use of our services and terminate your account.
